These Terms and Conditions (the “Terms”) form a binding agreement between Mailbox To Go Inc. (“Mailbox To Go,” “we,” “us,” or “our”) and any person or organization (“User”, “you” or “your”) that accesses or uses the mailboxtogo.com website, including all related webpages, online interfaces, content we make available, and any related products and services (collectively, “Website”). By visiting, browsing, creating an account, or using any feature of the Website, you agree to comply with and be bound by these Terms.
If you are entering into this agreement on behalf of a business or other legal entity, you represent that you have the authority to bind such entity to this agreement, in which case all references to “User”, “you”, or “your” shall refer to such entity. If you do not have such authority, or if you do not agree with the terms of this agreement, you must not accept this agreement and may not access and use the Website.
The Website is provided to you for informational and transactional purposes related to our virtual mailbox platform. These Terms govern only your access to and use of the Website itself. If you subscribe to or participate in any of our services, additional terms may apply to those activities.
By accessing and using the Website, you acknowledge that you have read, understood, and agree to be bound by these Terms. You acknowledge that these Terms are a contract between you and Mailbox To Go, even though it is electronic and is not physically signed by you, and it governs your use of the Website.
Eligibility and Minimum Age
The Website is intended for use only by individuals who can form legally binding contracts under applicable law. By accessing or using the Website, you represent and warrant that you are at least eighteen (18) years of age or the age of majority in your province, territory, or country of residence, whichever is greater. Individuals under the applicable age may not register for an account or use any interactive or transactional features of the Website.
If you are using the Website on behalf of a business, organization, or other entity, you further represent that such entity is duly organized, validly existing, and in good standing under the laws of its jurisdiction, and that you have full authority to bind it to these Terms.
We reserve the right to suspend or terminate access to any account if we discover or reasonably believe that a User does not meet the eligibility requirements set out in these Terms or any applicable service-specific terms, has provided false or misleading information regarding their identity, age, location, or other eligibility information, or is otherwise using the Website in a manner inconsistent with these Terms.
Accounts and Security
To access certain features of the Website, you may be required to create an account and provide accurate, current, and complete information as prompted during registration. You agree to maintain and promptly update your account information to keep it accurate and complete at all times. Mailbox To Go may, at its sole discretion, suspend or terminate your account if the information provided is false, misleading, or incomplete.
You are solely responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You must not share, sell, or otherwise transfer your account or allow anyone else to access it using your credentials. If you believe your account has been compromised, you must notify us immediately. We are not responsible for any loss or damage arising from unauthorized use of your account resulting from your failure to maintain the security of your credentials.
We may require additional verification or authentication measures from time to time, particularly for actions that involve access to personal information, documents, or payments processed through the Website. You consent to such verification procedures as a condition of continued access.
Mailbox To Go reserves the right to disable or restrict access to any account, without prior notice, if it determines or reasonably suspects that the account has been used in violation of these Terms, for fraudulent or unlawful purposes, or in a manner that could damage, disable, or impair the Website or any associated systems.
Scope of Use and Limitations
Mailbox To Go grants you a limited, revocable, non-exclusive, and non-transferable license to access and use the Website strictly in accordance with these Terms and any policies or guidelines posted on the Website. This license is granted solely for your personal or internal business purposes and does not convey any ownership or other rights in the Website or its content.
You may view and interact with the Website only through standard web browsers or other methods expressly authorized by Mailbox To Go. You must not copy, reproduce, distribute, publicly display, modify, translate, create derivative works from, sell, rent, or otherwise exploit any part of the Website or its content, whether in whole or in part, except as explicitly permitted by these Terms or with our prior written consent.
We reserve the right to modify, suspend, or discontinue any part of the Website, including features, content, or availability, at any time without notice or liability. We also reserve the right to restrict access to some or all areas of the Website, including for maintenance, upgrades, or security reasons.
You acknowledge that your use of the Website is at our discretion and that we may terminate or limit your access if we believe you have violated these Terms, interfered with the proper operation of the Website, or used it in a manner that is unlawful or inconsistent with its intended purpose.
Intellectual Property Rights
All content, design elements, features, functionality, and materials available on or through the Website, including but not limited to text, graphics, logos, icons, images, videos, software, databases, and the compilation thereof, are the exclusive property of Mailbox To Go or its licensors and are protected by applicable copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws of Canada and other jurisdictions.
The “Mailbox To Go” name, logo, and any related product or service names, designs, or slogans are trademarks of Mailbox To Go or its affiliates and may not be used, copied, imitated, or modified without our prior written permission. Other names, marks, or materials displayed on the Website may be the property of their respective owners and are used under license or for identification purposes only.
You are not granted any right, title, or interest in or to the Website or its content except the limited license expressly provided in these Terms. Any unauthorized use, reproduction, or distribution of the Website or its materials is strictly prohibited and may result in civil and criminal penalties. You agree not to remove, obscure, or alter any copyright, trademark, or other proprietary notices appearing on the Website or its content.
User Content and Submissions
The Website may allow you to submit or provide materials such as feedback, suggestions, reviews, testimonials, or other non-confidential communications (“User Content”). You retain all ownership rights to your User Content; however, by submitting it through the Website or any related channels, you grant Mailbox To Go a worldwide, non-exclusive, royalty-free, perpetual, and transferable license to use, reproduce, display, distribute, and adapt such User Content for the purpose of operating, improving, and promoting the Website and our services.
You represent and warrant that your User Content is accurate and lawful, that you have all necessary rights to submit it, and that our use of it as permitted above will not infringe or violate any third-party rights. You understand that any feedback or suggestions you voluntarily provide may be used by Mailbox To Go without restriction or obligation to compensate you. We reserve the right, but are not obligated, to monitor, edit, or remove User Content at our discretion if we believe it violates these Terms or applicable law.
Acceptable Use and Prohibited Conduct
You agree to use the Website only for lawful purposes and in accordance with these Terms. You may not use the Website in any manner that could interfere with its operation, compromise its security, or harm Mailbox To Go, its users, or any third party.
Without limiting the generality of the foregoing, you agree not to: access, use, or attempt to access or use the Website for any unlawful, fraudulent, or deceptive purpose; circumvent, disable, or otherwise interfere with any security features or access controls of the Website; upload, transmit, or distribute any viruses, worms, malware, or other harmful or disruptive code; use any robot, scraper, crawler, or other automated means to access the Website for any purpose without our express written permission; reverse-engineer, decompile, disassemble, or otherwise attempt to derive the source code, structure, or algorithms of the Website; interfere with or disrupt the operation of the Website or the servers, networks, or systems connected to it; use the Website to impersonate any person or entity or to falsely state or misrepresent your affiliation with any person or entity; collect or harvest any personal information or data of other users without their consent or in violation of applicable laws; use the Website in a manner that infringes, misappropriates, or violates the rights of others, including intellectual property, privacy, or contractual rights; or use the Website in any manner that we reasonably determine to be abusive, excessive, or inconsistent with its intended purpose.
Mailbox To Go reserves the right to investigate and take any appropriate legal or administrative action, including suspension or termination of accounts and reporting to authorities, if we suspect or determine that you have engaged in conduct that violates these Terms or applicable law.
Payments and Billing
Certain features or areas of the Website may allow or require payments, including but not limited to subscription fees, renewal charges, or other amounts payable for services offered through the Website. All payments must be made using a valid payment method accepted by Mailbox To Go, such as credit or debit cards processed securely through our third-party payment processor, Stripe, Inc. or its affiliates.
By submitting payment information, you authorize us and our payment processor to charge all applicable fees to your designated payment method, including any applicable taxes, and you agree to maintain accurate and up-to-date billing information. You acknowledge that Stripe acts as an independent processor and that your use of its services may be subject to additional terms and privacy policies provided by Stripe.
Unless otherwise stated, all prices and charges listed on the Website are in Canadian dollars (CAD). Prices may include or exclude applicable taxes depending on your location and the nature of the transaction.
We may use third-party tools or partners to assist with billing, invoicing, and fraud prevention. You consent to the disclosure of relevant billing information to such parties solely for those purposes.
All payments made through the Website are subject to verification and acceptance. Mailbox To Go reserves the right to correct any billing errors or mistakes, even if an invoice or payment confirmation has been issued.
This section applies generally to any payment activity conducted through the Website. Additional or service-specific payment terms may apply to renters or operators and will be set out in their respective agreements.

Depending on the function involved, a Third-Party Service may operate independently from Mailbox To Go or may process information or perform services on Mailbox To Go’s behalf. Your direct use of an independent Third-Party Service may be governed by its own terms and privacy policies.
The inclusion of a link or integration on the Website does not imply endorsement, affiliation, sponsorship, or recommendation by Mailbox To Go of the third party, its website, or its products or services. When you access or interact with any Third-Party Service, you do so entirely at your own risk and subject to the terms and privacy policies of those providers.
Certain features of the Website, such as payment processing, address verification, or analytics, may rely on Third-Party Services to operate properly. By using those features, you acknowledge and agree that Mailbox To Go may share limited data necessary to facilitate the requested function, for example, transmitting payment details to a secure payment gateway. We encourage you to review the terms and privacy policies of any Third-Party Service you interact with through the Website before providing any personal information or completing any transaction. Mailbox To Go may remove, modify, or disable links or integrations with Third-Party Services at any time without notice. Except to the extent that a claim arises from Mailbox To Go’s breach of its obligations under applicable privacy law or from liability that cannot lawfully be excluded, we are not liable for any damages, losses, or inconvenience arising from your independent use of, or inability to use, any linked or integrated third-party website or service.
Accuracy of Information
Mailbox To Go makes reasonable efforts to ensure that the information presented on the Website is accurate, current, and reliable. Communications and Electronic Consent
By creating an account, contacting us, or using any interactive features of the Website, you consent to receive communications from Mailbox To Go electronically, including by email, in-account messages, or through notices displayed on the Website. You agree that all agreements, disclosures, notices, and other communications that we provide electronically satisfy any legal requirement that such communications be in writing.
You are responsible for maintaining accurate contact information and ensuring that emails or messages from us are not blocked by your spam filters or other security settings. Mailbox To Go aims to keep the Website accessible, secure, and fully functional at all times. However, we do not guarantee uninterrupted or error-free operation, nor that access will always be available from every device, browser, or location. The Website may occasionally become unavailable due to maintenance, updates, technical issues, or factors beyond our reasonable control, such as internet outages or service disruptions affecting third-party providers.
We may suspend or restrict access to the Website temporarily without prior notice when necessary to maintain, repair, or improve system performance or security. Where feasible, we will take reasonable steps to minimize downtime and restore access promptly.

If you access or use any feature or service that is subject to additional terms, those terms will apply in addition to these Terms. In the event of a direct conflict between these Terms and the applicable service-specific terms, the latter will prevail to the extent of the conflict.
You are responsible for reviewing and agreeing to any additional terms presented to you before using a related service or feature. Your continued use of the Website or participation in the applicable service constitutes acceptance of those additional terms as amended from time to time.
Changes to the Website
Mailbox To Go continually strives to improve the Website and its related functionality. As such, we may modify, enhance, update, or discontinue any aspect of the Website at any time, with or without notice. These changes may include adjustments to features, design, performance, or the availability of certain sections or content.
We make reasonable efforts to ensure that any modifications improve the user experience or security of the Website. However, we cannot guarantee uninterrupted or error-free access, nor can we be held responsible for temporary unavailability due to maintenance, upgrades, or technical issues beyond our control.
You acknowledge that your continued use of the Website after any modification constitutes your acceptance of the updated Website as provided. Mailbox To Go shall not be liable for any loss, damage, or inconvenience arising from any modification, suspension, or discontinuation of the Website or any part of it.
Disclaimers of Warranties

To the fullest extent permitted by law, Mailbox To Go disclaims all warranties, representations, and conditions, whether express, implied, statutory, or otherwise, including any implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, or that the Website will be uninterrupted, error-free, secure, or free from viruses or harmful components.
While we make reasonable efforts to maintain accurate and up-to-date information on the Website, we do not warrant or guarantee the accuracy, completeness, timeliness, or reliability of any content. You acknowledge that any reliance on the Website or its content is at your own risk.
Mailbox To Go does not warrant that any errors or defects will be corrected, that the Website or its hosting environment will always be available, or that communications between you and us or through the Website will be free from interception, loss, or alteration by third parties. Some jurisdictions do not allow the exclusion of certain warranties or conditions. In such cases, the above exclusions shall apply to the maximum extent permitted by applicable law.
Limitation of Liability
To the fullest extent permitted by law, Mailbox To Go, its affiliates, directors, officers, employees, agents, and service providers shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, or for any loss of profits, revenues, data, goodwill, or other intangible losses, whether arising in contract, tort (including negligence), equity, or otherwise, and regardless of whether we were advised of the possibility of such damages.
Without limiting the foregoing, Mailbox To Go shall not be liable for any damages or losses resulting from: your use of, or inability to use, the Website; errors, mistakes, or inaccuracies in any content; unauthorized access to or use of your account or information; interruptions, delays, or failures in transmission or operation of the Website; viruses, malware, or other harmful code transmitted through the Website by third parties; or any acts, omissions, or content of third parties, including links, integrations, or services accessible through the Website.
In no event shall Mailbox To Go’s total aggregate liability arising out of or in connection with these Terms or your use of the Website exceed the greater of one hundred Canadian dollars (CAD $100) or the total subscription fees paid by you during the three (3) months immediately preceding the event giving rise to the claim.
These limitations shall apply even if a remedy fails of its essential purpose. Some jurisdictions do not allow certain limitations or exclusions of liability; in such cases, the limitations above shall apply to the maximum extent permitted by law.
Indemnification
You agree to defend, indemnify, and hold harmless Mailbox To Go, its affiliates, officers, directors, employees, agents, contractors, and service providers from and against any and all claims, demands, causes of action, damages, obligations, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to: your access to or use of the Website; your violation of these Terms or any applicable law or regulation; any content or materials you submit or transmit through the Website; or your infringement, misappropriation, or violation of any third-party rights, including intellectual property or privacy rights.
Mailbox To Go reserves the right, at your expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you. In such cases, you agree to cooperate fully with us in asserting any available defenses and providing requested information or assistance. You must not settle or resolve any claim that would impose any obligation or liability on Mailbox To Go without our prior written consent.
This indemnification obligation shall survive the termination of your use of the Website and the expiration or termination of these Terms.
Suspension of Service
Mailbox To Go reserves the right, at its sole discretion and without prior notice, to suspend, restrict, or terminate your access to the Website or any part thereof if: you violate these Terms or any applicable law; we reasonably believe your conduct may cause harm, create liability, or disrupt the operation or security of the Website or its users; we are required to do so by law, regulation, or order of a governmental authority; or technical or operational issues necessitate such action to protect the integrity of the Website.
If your account is terminated or suspended, your right to access the Website will immediately cease. We may, but are not obligated to, provide notice of the reason for termination where permitted by law. Mailbox To Go is not liable for any loss or damage resulting from suspension or termination of access.
Termination or suspension of access under these Terms does not affect any obligations or liabilities that have accrued prior to such action, including those arising under any other agreement you have with Mailbox To Go. Provisions of these Terms which by their nature should survive termination, including intellectual property, disclaimers, limitation of liability, indemnification, and governing law, shall continue in full force and effect.
Force Majeure
Mailbox To Go shall not be liable or deemed to be in breach of these Terms for any delay, failure, or interruption in the performance of its obligations resulting directly or indirectly from causes or circumstances beyond its reasonable control. Such events may include, but are not limited to, acts of God, natural disasters, pandemics, epidemics, public health emergencies, wars, terrorism, civil unrest, labour disputes, power outages, equipment or telecommunication failures, government actions, or failures of third-party service providers.
In the event of a Force Majeure occurrence, Mailbox To Go’s obligations shall be suspended for the duration of the event and resume once performance becomes reasonably possible. Where feasible, we will make reasonable efforts to mitigate the effects of such events and to maintain essential Website functionality.
You acknowledge that certain circumstances, such as internet connectivity disruptions or failures of external systems, are inherent to the nature of online services and do not constitute a breach by Mailbox To Go.
Governing Law and Jurisdiction
These Terms and any dispute, claim, or controversy arising out of or relating to them or your use of the Website or Services shall be governed by the laws of the Province of Ontario and the federal laws of Canada applicable in Ontario, without regard to conflict-of-law principles.
Except for a dispute required to be resolved through arbitration under the Dispute Resolution section below, and subject to any non-waivable right available under applicable consumer protection or other law, any legal action or proceeding arising out of or relating to these Terms or the Website or Services must be brought exclusively before the courts of Ontario. Each party submits to the jurisdiction of those courts and waives any objection based on venue or inconvenient forum, to the extent permitted by law.
Nothing in this section or the Dispute Resolution section prevents either party from seeking urgent interim, injunctive, or equitable relief from a court of competent jurisdiction where reasonably necessary to protect its rights, confidential information, Customer Mail, Customer Data, or other property, or to prevent irreparable harm.
Dispute Resolution
Before commencing arbitration or another legal proceeding, you and Mailbox To Go will first make reasonable good-faith efforts to resolve the dispute informally. A party may begin this process by providing written notice using the contact information stated in these Terms. The notice must describe the dispute and the requested resolution in reasonable detail.
The parties will have thirty (30) days after the notice is received to attempt to resolve the dispute. This informal-resolution period does not prevent either party from seeking urgent interim, injunctive, or equitable relief, commencing a proceeding where reasonably necessary to preserve a limitation period, or exercising a right that cannot lawfully be restricted or waived. Unless the parties agree otherwise in writing, the informal-resolution process does not suspend or extend an applicable limitation period. Except where applicable law gives you a non-waivable right to bring the dispute before a court or another decision-making body, a dispute that remains unresolved after the informal-resolution period shall be resolved exclusively by binding arbitration conducted under the Arbitration Act, 1991 (Ontario), or its successor legislation.
The arbitration shall be heard by one arbitrator. The parties will attempt to agree on the arbitrator within fifteen (15) days after either party gives written notice requesting arbitration. If they do not agree within that period, either party may apply to have the arbitrator appointed in accordance with the Arbitration Act, 1991. The legal seat of the arbitration shall be Toronto, Ontario, and the arbitration shall be conducted in English. A hearing may be conducted remotely where agreed by the parties or directed by the arbitrator.
The arbitrator may grant any remedy available under applicable law and within the scope of these Terms, but may not modify these Terms or grant relief prohibited by them or by law. The arbitrator’s decision shall be final and binding, subject only to any review or appeal that cannot lawfully be excluded. Judgment on the award may be entered and enforced in any court having jurisdiction. Each party shall initially bear its own legal and other costs of the arbitration, and the arbitrator’s fees and other shared arbitration expenses shall initially be divided equally. The arbitrator may allocate costs and expenses differently in the final award where permitted by law and considered appropriate in the circumstances.
To the fullest extent permitted by law, every dispute must be brought and resolved on an individual basis and not as part of a class, consolidated, collective, or representative proceeding. This restriction does not limit any right to commence or participate in a class or other proceeding that applicable consumer protection or other law does not permit you to waive.
If you are an individual using the Services for personal, family, or household purposes, nothing in this section requires you to arbitrate or prevents you from commencing or participating in a court or class proceeding where applicable consumer protection legislation gives you that right. After a dispute arises, you and Mailbox To Go may voluntarily agree to resolve that particular dispute through arbitration where permitted by law. If you use the Website or Services on behalf of a business, organization, or other entity, or primarily for business purposes, the arbitration agreement and individual-proceeding requirement in this section remain binding to the fullest extent permitted by law.
Where applicable service-specific terms designate an Operator or another party as a beneficiary of this section, the arbitration agreement, individual-proceeding requirement, and related protections apply to a dispute against that party arising out of or relating to the Services to the same extent as if the dispute were against Mailbox To Go. That party may enforce this section directly against you, subject to applicable law.
Assignment
You may not assign, transfer, or delegate any of your rights or obligations under these Terms without the prior written consent of Mailbox To Go, and any attempt to do so without such consent will be void.
