Indemnification

Force Majeure
Mailbox To Go shall not be liable or deemed to be in breach of these Terms for any delay, failure, or interruption in the performance of its obligations resulting directly or indirectly from causes or circumstances beyond its reasonable control. Such events may include, but are not limited to, acts of God, natural disasters, pandemics, epidemics, public health emergencies, wars, terrorism, civil unrest, labour disputes, power outages, equipment or telecommunication failures, government actions, or failures of third-party service providers.
In the event of a Force Majeure occurrence, Mailbox To Go’s obligations shall be suspended for the duration of the event and resume once performance becomes reasonably possible. Where feasible, we will make reasonable efforts to mitigate the effects of such events and to maintain essential Website functionality.
You acknowledge that certain circumstances, such as internet connectivity disruptions or failures of external systems, are inherent to the nature of online services and do not constitute a breach by Mailbox To Go.
Governing Law and Jurisdiction
These Terms and any dispute, claim, or controversy arising out of or relating to them, or to your use of the Website, shall be governed by and construed in accordance with the laws of Canada and the Province of Ontario, without regard to its conflict of law principles.
You agree that any legal action or proceeding arising out of or relating to these Terms shall be brought exclusively before the courts located in the Province of Ontario, and you hereby irrevocably submit to the personal jurisdiction of such courts. You waive any objection to the venue or jurisdiction of such courts, including any argument that such forum is inconvenient.
Nothing in this section limits Mailbox To Go’s right to seek injunctive or equitable relief in any jurisdiction where such relief is necessary to protect its rights or prevent irreparable harm. If any portion of this section is determined to be unenforceable under applicable law, the remainder shall continue in full force and effect to the maximum extent permitted.
Dispute Resolution
Before initiating any legal proceedings, you agree to first attempt to resolve any dispute, controversy, or claim relating to these Terms or your use of the Website through good-faith informal discussions with Mailbox To Go. You may initiate this process by submitting a written notice of the dispute using the contact method described in the Contact Information section of these Terms. Your notice must include a description of the issue and the relief sought. We will make reasonable efforts to respond and work toward a resolution within thirty (30) days of receiving such notice.
If the parties are unable to reach a mutually acceptable resolution within that period, the dispute shall be resolved exclusively by binding arbitration administered in accordance with the Arbitration Act (Ontario) or its successor legislation, before a single arbitrator mutually agreed upon by the parties. The arbitration shall take place in Toronto, Ontario, and shall be conducted in English. The decision of the arbitrator shall be final and binding, and judgment on the award may be entered in any court of competent jurisdiction.
Each party shall bear its own costs of arbitration, and the fees of the arbitrator shall be shared equally unless the arbitrator determines otherwise. Notwithstanding the foregoing, either party may seek interim injunctive or equitable relief from a court of competent jurisdiction to protect its rights or confidential information pending final resolution. You agree that all proceedings, whether in arbitration or court, shall be conducted on an individual basis only and not in any class, consolidated, or representative action, unless prohibited by law.
Assignment
You may not assign, transfer, or delegate any of your rights or obligations under these Terms without the prior written consent of Mailbox To Go, and any attempt to do so without such consent will be void.
Mailbox To Go may assign or transfer its rights and obligations under these Terms, in whole or in part, to any affiliate, successor, or acquirer in connection with a merger, reorganization, or sale of assets, or to any entity that continues to operate the Website. In such cases, these Terms will remain binding on you and will continue to apply to your use of the Website without interruption. Mailbox To Go may also also engage contractors or service providers to assist in fulfilling its obligations under these Terms, provided that it remains responsible for their performance.
Severability and Waiver
If any provision of these Terms is found by a court or tribunal of competent jurisdiction to be invalid, illegal, or unenforceable, that provision shall be enforced to the maximum extent permissible, and the remaining provisions shall remain in full force and effect. The invalidity or unenforceability of any single clause shall not affect the validity of the rest of these Terms.
No waiver by Mailbox To Go of any term, right, or remedy under these Terms shall be considered a continuing waiver or a waiver of any other term, right, or remedy. Any ambiguities in these Terms shall not be construed against Mailbox To Go as the drafting party. Instead, they shall be interpreted in a fair and reasonable manner consistent with the intent of the Terms and applicable law.
